Details of the Job/Internship
ICON plc is hiring a Corporate Governance & Company Secretarial Associate with a minimum of 3 years of experience to join their office in Bangalore/Chennai.
Role and Responsibilities
- Prepare and file annual reports and compliance filings for global entities.
- Manage workload to ensure adherence to filing deadlines.
- Monitor and report on compliance requirements.
- Prepare and circulate board materials and related documentation.
- Support drafting and review of resolutions, contracts, and legal documents.
- File, store, and maintain board materials and company records.
- Maintain and update the Diligent Entities database and corporate records.
- Manage the team inbox and respond to queries regarding company records and entity details.
- Prepare and update powers of attorney.
- Arrange execution, notarization, apostille, and liaise with government bodies and embassies.
- Liaise with auditors and other professional advisors.
- Engage and liaise with external advisors and manage invoices.
- Support corporate restructuring projects.
- Handle ad hoc project work and administrative tasks as assigned.
Eligibility
- Qualified Company Secretary with mandatory ICSI membership.
- Minimum 3 years’ experience in company secretarial or corporate governance roles.
- Honors degree in legal, business, or finance.
- Experience in multinational organizations and managing global compliance is an advantage.
- Strong organisational skills, time management, and attention to detail.
- Ability to manage deadlines, multitask, and work under pressure.
- Strong business and risk awareness with strategic thinking capability.
- Excellent analytical, communication, and problem-solving skills.
- Ability to work independently with strong work ethic.
- Trustworthy and discreet in handling confidential information.
- Proficiency in Microsoft Office.
- Knowledge of Diligent (Blueprint) or similar entity management software is an advantage.
Salary/Stipend
