Incomlend is hiring a Legal Counsel for their Gurugram office. Candidates must have 3-5 years of experience.
Role and Responsibilities
Role
Reporting to the General Counsel, you will provide legal advice to support the business operations and growth while minimizing legal risk to the organization. This includes drafting and negotiation of a wide range of contracts, advising on commercial and corporate legal matters while ensuring compliance to internal guidelines and external regulatory requirements. You will also oversee corporate governance requirements and potentially the opportunity to participate in investigations when they arise including but not limited to –
Responsibilities
- negotiating, drafting, and reviewing contracts and general legal documentation (NDAs, LOIs, service provider agreements, referral agreements, commercial agreements, trade finance, lease agreements etc.).
- management of existing contracts database – renewal/expiry dates of contracts.
- template management of standard documentation - creating, managing, and updating template contracts and legal documentation.
- negotiating, drafting and reviewing leases and general ancillary documentation.
- participation in legal and regulatory analysis and liaise with authorities and financial regulators, as relevant ;
- develop, adapt, roll out and promote data protection, anti-corruption/anti money laundering/ethical and general compliance policies, procedures and measures within the organisation, including partaking in trainings;
- coordinate and assist in secretarial related matters regarding corporate obligations;
- assisting in the organization of board meetings and AGMs and preparation of board resolutions.
- committee and meeting minutes writing, business license registrations and renewals documentation and filing of applications.
- participant in due diligence, internal checks, lega-risk assessment activities, and other related legal and compliance checks and processes;
- legal research & legal monitoring - building and maintaining a legal knowledge database.
- training of internal stakeholders and assisting legal team in devising and conducting legal and compliance training.
- effectively liaise with external lawyers, notaries and provide day to day legal support to internal stakeholders and assist in the supervision and follow-up of collections and recovery proceedings in various jurisdictions; and
- Assist in the filing of claims and the liaison with insurance companies.
Eligibility
- Candidate should be a qualified legal professional with at least after qualification three or five years of experiences.
- Candidate ought to be commercially minded and possess legal analytical skills, able to prioritize and are focused on enabling the business, enabling business and legal requirements.
- Candidate also possess excellent interpersonal skills to be able to partner with a wide range of stakeholders.
