Details of the Job/Internship

OSL is hiring a Legal Counsel with experience of 5+ years to join their office in Dubai. The role involves providing legal support across corporate, commercial, regulatory, and contractual matters, ensuring compliance with VARA requirements and applicable laws, with a focus on contract management, governance documentation, and legal risk management in virtual asset operations.

Role and Responsibilities

• Provide legal advice on corporate, commercial, regulatory, contractual, and dispute-related matters.
• Draft, review, and negotiate client agreements, vendor contracts, outsourcing arrangements, and other legal documents.
• Support legal review of new products, services, and cross-border or jurisdictional matters.
• Maintain corporate and governance documentation, including resolutions and delegated authorities.
• Review client-facing terms, disclosures, and legal content in coordination with Compliance and Marketing.
• Support legal aspects of outsourcing and third-party arrangements.
• Assist with disputes, complaints, and regulatory enquiries, including coordination with external counsel.
• Maintain legal risk registers and track contractual obligations and key risks.
• Support regulatory submissions, notifications, and formal correspondence.
• Deliver legal awareness training and promote strong legal risk management practices.
• Maintain proper recordkeeping and handling of confidential and privileged information.

Eligibility

• Bachelor’s degree in Law and qualified to practise in a recognised jurisdiction or equivalent experience.
• 5+ years of legal experience in financial services, fintech, technology, payments, or virtual assets.
• Strong experience in drafting and negotiating commercial agreements.
• Experience with regulatory, governance, and external counsel management preferred.
• Strong understanding of legal risk, documentation, and operating in a regulated environment.
