Details of the Job/Internship
Reliance Infrastructure is hiring for the position of Legal Counsel – M&A Infrastructure Projects with 10 years of experience to join their office in Mumbai.
Role and Responsibilities
- M&A Transactions:
- Lead end-to-end M&A transactions, including legal due diligence, structuring, and FEMA compliance.
- Draft and negotiate SPAs, SSAs, SHAs, JV agreements, and related documents.
- Infrastructure Project Contracting:
- Draft and negotiate EPC, O&M, PPA, infrastructure sharing, and revenue sharing contracts.
- Advise on project structuring, risk allocation, and regulatory frameworks.
- Regulatory Advisory:
- Provide strategic guidance on regulatory matters specific to the infrastructure and energy sectors.
- Advise on project finance, lending agreements, and IBC resolution frameworks.
- General Corporate Advisory:
- Address corporate law matters, including FEMA-related issues and compliance.
- Collaborate with cross-functional teams and manage negotiations with external stakeholders.
Eligibility
- Educational Background: LLB from a reputed institution.
- Experience: Minimum 10 years of legal experience with a strong focus on M&A and infrastructure projects.
- Excellent negotiation, drafting, and communication skills.
