Details of the Job/Internship
ServiceNow is hiring a legal counsel to join them remotely.
Role and Responsibilities
- Be responsible for statutory compliance, corporate governance and company secretarial matters for the Indian entities in the ServiceNow group.
- Deliver business oriented, risk-based advice on a full range of compliance and corporate / company law issues in India, including by ensuring filing deadlines and compliance requirements are observed, and by staying on top of important legal and regulatory changes in these areas.
- Coordinate and attend board / committee meetings for the Indian entities in the ServiceNow group, in conjunction with other members of Corporate Legal, Tax and Finance teams.
- Support corporate matters for ServiceNow’s corporate structure, particularly as it relates to our Indian entities, including inter-company loans, dividends, capital injections, intra-group contractual arrangements and project-driven activities, including restructurings.
- Partner with cross-functional teams including Legal, Accounting, Tax, Treasury and Finance relating to a wide variety of in-country matters, including financing, strategy, local law requirements and overall commercial enablement.
- Assist with arranging document execution in India.
- Assist other members of the Corporate Legal team on a wide range of other legal and cross-functional projects.
- Work with external counsel and external corporate service providers as required.
- Often act as the ‘face’ of Legal to different stakeholders within ServiceNow, particularly in India, and help us to build a culture of high performance and great inclusion.
- Support on all above the above for different regions (particularly APJ and ANZ) as required
Eligibility
- Indian law degree.
- 3+ years of relevant legal experience.
- Broad experience in Indian Corporate and Company Law, with some international and in-house experience preferred, but not essential.
- Some knowledge and understanding of IP, software/technology licensing and commercial contract law.
- Superb organizational skills, with experience working to deadlines.
- Business and results oriented with a pro-active, flexible and real-world approach to problem-solving, and the ability to make sound decisions and exercise good judgment.
- Excellent interpersonal skills, a good sense of humor, and a proven ability to build strong and deep working relationships with internal stakeholders over multiple geographical locations.
- Ability to work independently and under pressure, and to handle multiple competing tasks simultaneously and thoroughly to closure in a fast-paced environment.
- Strong analytical, issue-spotting and investigatory skills - able to quickly analyse complex factual situations and identify, understand and evaluate key risks and issues.
- A global mindset and sensitivity to all cultures.
- Fluency in English.
