Details of the Job/Internship
Tech Mahindra is hiring a Legal Counsel with experience of 3 to 6 Years to join their office in Noida.
Role and Responsibilities
- Supporting Actions Contract/Documentation Support.
- Review of closing binder of transactions,
- Providing advice and assistance to integration team on various aspects of post-closing integration, including seller disputes, earn-out disputes, employment issues, arbitration, indemnity claims and related matters.
- Drafting various documents relating to integration activities such as novation deeds, assignments deeds, customer intimations, earn-out related communication .
- Providing advice and assistance on transfer and release of funds from escrow, including indemnity and true-up escrows.
- Drafting documentation relating to intra-group business and stock transfers.
- Ensuring group standards/policies are reflected in legal documents to protect the interest of the company.
- Monitoring the lifecycle of all the contracts pursuant to closing thereof.
- Advising and assisting on intra-group mergers.
- Advising on transfer pricing contracts and related issues Operational Support .
- Keep abreast of legislative changes that may affect the company and its affiliates MIS, Reporting, provisioning.
- Prepare weekly/monthly/ quarterly legal reports, as per requirement.
- Provisioning for post-closing support availed from external agencies.
Eligibility
- L.L.B from a premier college/university.
- Experience of 3 - 6 years preferably at a law firm or as in-house counsel with similar responsibilities.
- Ability to timely manage communications with internal departments.
- Skilled in ensuring a collaborative management environment, succeeding through regular meetings and clear formal and informal communication with members of various internal teams and law firms.
- Attention to detail and capability to work on multiple projects in parallel
