Details of the Job/Internship
Winvesta is hiring for the position of legal counsel with 5 years of experience to join them in Mumbai office.
Role and Responsibilities
Regulatory Compliance & Advisory
- Keep abreast of laws and regulations that impact the fintech industry, especially concerning cross-border transactions and RBI regulations.
- Ensure that the company’s products and services are compliant with the regulatory requirements in different jurisdictions (India, UK, and other global markets), with a focus on RBI compliance.
- Provide expert advice and guidance on regulatory matters, including licensing, data protection, anti-money laundering, and RBI policies.
- Liaise with the RBI and other regulatory bodies to ensure adherence to regulations and to stay informed of any changes that may affect the company’s operations.
Contract Management
- Draft, review, and negotiate contracts with customers, partners, and vendors, ensuring compliance with RBI guidelines and other relevant laws.
- Ensure that contracts are compliant with relevant laws and protect the company’s interests.
Legal Research & Analysis
- Conduct in-depth legal research on various issues, including cross-border regulations, RBI guidelines, corporate governance, and international finance.
- Analyze legal risks and present clear recommendations.
Risk Management
- Collaborate with various departments to identify legal risks and propose mitigating strategies, particularly in relation to RBI compliance.
- Support the implementation of an effective risk management process.
Dispute Resolution
- Manage and resolve legal disputes, including litigation and arbitration.
- Liaise with external counsel as necessary.
Intellectual Property
- Advise on the protection of intellectual property rights, including trademarks, patents, and copyrights.
Corporate Governance
- Assist in corporate governance matters, including the preparation of board materials, policies, and compliance programs.
Stakeholder Communication
- Communicate and collaborate with regulatory bodies, including RBI, external legal advisors, and internal stakeholders.
Fundraising and Investment/Corporate Compliance
- Provide legal advice and support on fundraising activities, including private equity, debt, and other financing structures.
- Review and draft fundraising documents, including term sheets, investment agreements, and disclosure documents.
- Ensure compliance with securities and investment regulations, and adherence to disclosure requirements and best practices during fundraising processes.
- Oversee Company Compliance requirements across group entities.
Eligibility
- Law degree from a recognized university.
- Admission to practice law in one or more jurisdictions.
- Minimum 5 years of experience in a legal role, preferably within the financial services or fintech industry.
- Strong understanding of regulatory requirements in the fintech sector, especially RBI regulations and guidelines.
- Familiarity with fundraising documents and compliance with securities and investment regulations.
- Proficient in drafting and reviewing contracts.
- Demonstrable experience in legal research and analysis.
- Excellent written and verbal communication skills.
- Ability to work independently and collaboratively.
- Strong ethical standards and professional integrity.
