Details of the Job/Internship

YES BANK is hiring a Legal Counsel with experience of 5–8 years to join their office in the Mumbai Metropolitan Region. The role involves providing legal support and advice to Large Corporates, Wholesale Banking, Structured Deals, Trade Finance, and Transaction Banking products. The position also focuses on managing legal risks, structuring transactions, drafting and negotiating documentation, supporting due diligence, and handling litigation and regulatory matters while ensuring alignment with the Bank’s operational and legal framework.

Role and Responsibilities

• Provide legal advice and support to Large Corporates, Wholesale Banking, Structured Deals, Trade Finance, and Transaction Banking products.
• Develop and maintain standard agreements, templates, and legal guidelines for products and documentation.
• Manage legal affairs and legal risks relating to the Bank’s business operations.
• Assist business teams in structuring transactions, products, contracts, procedures, and negotiations with third parties.
• Provide legal support to business teams and functions including HR, finance, and compliance.
• Advise branches, subsidiaries, and affiliates on legal issues related to governance, corporate structure, and operations in India.
• Assist in due diligence for deals and transactions, including property and regulatory matters, and recommend risk mitigation strategies.
• Coordinate with external legal counsel and draft complaints, replies, applications, affidavits, and other pleadings in civil and criminal matters, including debt recovery.
• Monitor regulatory and statutory developments and recommend appropriate action plans.
• Coordinate with legal teams to implement legal function goals, objectives, best practices, and reporting processes.
• Advise on structuring, negotiation, and execution of third-party agreements.
• Supervise and manage local litigation and pre-litigation disputes.
• Support the launch of new products and structuring of deals, including drafting, vetting, and negotiating documentation.
• Assess contractual risks in credit and other agreements to safeguard the Bank’s interests.
• Monitor legal developments impacting banking operations and provide appropriate advice.
• Assist the General Counsel/Corporate Legal Head in compliance with legal policies and implementation of local legal procedures.
• Advise on substantive legal issues and questions of law.
• Provide legal advice, support, and transaction management services for Bank business activities.

Eligibility

• A qualified lawyer with an LL.B degree, preferably from Tier I or Tier II institutions, with 5–8 years of corporate legal experience, preferably in the banking sector or top NBFCs.
