Details of the Job/Internship
BDO India LLP is hiring for the position of Legal Director - Contracts with 15 to 20 years of experience to join their office in Mumbai.
Role and Responsibilities
Contract Lifecycle Management
- Draft, review, and negotiate a wide variety of contracts including:
- SAAS Agreements, End User License Agreements, Master Service Agreements, Consultancy Contracts, Service Provider Agreements.
- IP-related Contracts: Trademark Licensing, Reseller Agreements, Joint Business/Venture Agreements, Licensing Agreements.
- Commercial Contracts: Client Service Engagement Letters, Investment Banking Contracts, NDAs, Vendor & Subcontractor Agreements, Referral Agreements, Loan Staffing Contracts.
- Develop contracts from scratch and maintain/update standardized templates.
Stakeholder Engagement & Negotiation
- Serve as the key legal advisor for internal stakeholders on all contractual matters.
- Lead negotiations with clients, vendors, partners, and third-party stakeholders.
- Provide strategic advice on contractual risk, compliance, insurance, and data privacy obligations.
Team Leadership & Process Development
- Build and lead a high-performing legal team to support contract management.
- Develop SOPs, policies, and workflows to streamline contract review and approval processes.
- Mentor junior legal professionals and foster team development.
Strategic Initiatives & Technology Integration
- Conduct legal research and ensure compliance with relevant laws and regulations.
- Provide input on matters related to data protection (e.g., GDPR, IT Act) and insurance.
- Evaluate and implement AI-driven tools to optimize contract lifecycle management.
Eligibility
- Educational Background: LLB (mandatory); additional qualifications like CS or LLM are highly desirable.
- Experience: 15–20 years PQE, preferably in a professional services, technology, or consulting environment.
- Expertise: Extensive experience with commercial, technology, and strategic contracts.
- Leadership: Proven ability to lead legal teams and manage complex, high-value contractual negotiations.
- Communication: Excellent command over English – both written and verbal.
- Tech Proficiency: Skilled in Microsoft Word, Excel, and PowerPoint; familiarity with contract management tools is a plus.
- Attributes: Detail-oriented, process-driven, highly organized, and strategic thinker.
