Kotak Private is hiring for the position of Legal Estate Planning to join their office in Mumbai.
Role and Responsibilities
- Suggest and provide inputs on estate plans and trust structuring for the Estate Planning division.
- Draft trust deeds, amendments, mandate letters, NDAs, and other ancillary documentation.
- Discuss and finalize trust deeds and related documents with clients and their legal and tax counsels.
- Conduct diligence on companies where promoter shares are proposed to be transferred and review SHAs, SPAs, deeds of adherence, and investor documents to limit trust liabilities.
- Review title documents for immovable properties proposed to be settled into trusts, finalize sale deeds and ancillary documents, and coordinate registration.
- Review and provide inputs on investment-related documents such as PMS Agreements, Asset Advisory Agreements, subscription forms, and letters.
- Draft, review, and finalize lending, borrowing, and security creation documents for trusts.
- Coordinate with business, tax, and operations teams for finalizing trust documentation and related transactions.
- Research laws and regulations impacting the client’s estate planning structure and address client queries, including matters under the Indian Trusts Act, Companies Act, Succession Act, Transfer of Property Act, Stamp Acts, FATCA, and SEBI Regulations.
- Review and update processes for activities of the Estate Planning division.
