Aarii Ventures is seeking a Legal Executive (Investments) to join their team in Mumbai. This role involves supporting their investment activities, including due diligence, contract drafting, and legal compliance. Role and Responsibilities
1. AIF and Private Trust Structure Management:
- Utilize practical expertise to establish Alternative Investment Fund (AIF) structures and Private Trust Structures.
- Collaborate with internal stakeholders to develop and implement strategic AIF.
- Draft and review private trust deeds, shareholder agreements for trusts, and family constitutions to uphold regulatory compliance and facilitate effective management.
2. Drafting and Negotiating Agreements:
- Work closely with the investment team to structure investment deals and draft, review, and negotiate term sheets, shareholder agreements, share subscription agreements, service agreements, advisory agreements, etc.
- Ensure that all agreements adhere to legal requirements and accurately reflect the interests of the firm.
- Identify and mitigate legal risks during negotiation processes.
- Provide guidance and support to internal teams on legal matters related to agreements.
3. Legal Compliance:
- Ensure all pre- and post-transaction conditions are met by diligently verifying obligations, documentation, and regulatory compliance, facilitating smooth closure of transactions.
- Stay abreast of regulatory developments and ensure compliance with relevant laws and regulations.
- Conduct legal research as necessary to support decision-making and mitigate legal risks.
4. Legal Support:
- Provide legal support and guidance to various departments within the firm, including but not limited to investment, finance, and operations.
- Assist in resolving legal disputes and providing guidance on legal matters as they arise.
- Collaborate with external legal counsel when necessary to address complex legal issues.
- Handle drafting replies to legal notices, issuing legal notices, and initiating legal proceedings as necessary.
5. Documentation Management:
- Maintain accurate and organized documentation related to agreements, legal matters, and compliance activities.
- Develop and maintain templates for standard agreements to streamline the drafting process
Eligibility
- Bachelor’s degree in law or a related field; additional qualifications such as a master’s degree or professional certification.
- 2-3 years of experience working as a legal executive or in a similar role within the investment industry.
- Strong understanding of legal compliance requirements, particularly within the investment industry.
- Practical knowledge and experience in working with Alternative Investment Fund (AIF) structures.
- Proven experience in drafting and negotiating shareholder agreements, share subscription agreements, and service agreements.
- Experience in M&A / private equity /venture capital would be an added advantage.
- Understanding of investment structures CCPS/ NCDs/ OCDs would be an added advantage.
- Excellent communication, negotiation, and problem-solving skills.
- Ability to work independently and collaboratively in a fast-paced environment.
- Attention to detail and strong organizational skills.
