Details of the Job/Internship

Orios Venture Partners is hiring a Legal Executive (Legal Compliance) with 1 to 3 years of experience to join their Mumbai office.

Role and Responsibilities

• Assist in drafting fund offering documents (TD, PPM, IMA, CA).
• Track regulatory changes (SEBI AIF, RBI/FEMA) and update fund documentation.
• Liaise with regulators and legal consultants for compliance, reporting, and filings under Companies Act, LLP Act, and Trust Act.
• Support compliance for investor communications.
• Draft, vet, and negotiate investment-related agreements (TS, SSHA, SSA, SPA).
• Support legal and compliance due diligence for portfolio companies.
• Collaborate on structuring and documentation of transactions.
• Draft and vet agreements with distributors, referral agents, and service providers.
• Manage litigation matters with external counsel.
• Support partner, board, committee, and shareholder meetings with necessary documentation.

Eligibility

• LLB with CS preferred from top academic institutions.
• 1 to 3 years of experience, preferably in venture capital funds.
• Strong knowledge of SEBI AIF, RBI/FEMA, corporate and securities laws, Contract Act, Arbitration, Stamp Duty, IP, and Data Protection.
• Ability to anticipate legal risks, manage multiple projects, and adapt to change.
• High initiative, self-motivation, and excellent communication and interpersonal skills.
