JSW Steel Limited is looking for a candidate for the position of Legal Head.
Role and Responsibilities
- Leading and managing M&A transactions: Joint ventures, acquisition/divestment of shares / assets, technical collaborations, corporate restructuring, mergers/demergers, acquisition of distressed assets under Insolvency & Bankruptcy Code and ancillary activities including obtaining CCI and regulatory approvals, drafting and reviewing corporate approvals, POA, undertakings, EOIs, NDAs, engagement letters, conducting due diligence, etc.
- Drafting and reviewing due diligence reports.
- Drafting, reviewing, negotiation and finalisation of contracts.
- Setting up systems and process for timely and effective contract and M&A management.
- To pro-actively and constantly improvise the various contract templates used by business teams.
- Draft, review and finalize contracts/transaction documents in time bound manner
- Develop templates on M&A documents.
- Engage relevant stakeholders in negotiation decisions involving legal or regulatory requirements, contract standards and cost targets.
- Maintain deadlines on deliverables and communicate on an ongoing basis with business partners and internal clients about contractual and transactional issues.
- Monitor existing laws and regulations and proposed legislation and regulations.
- Ensure that documents and proposals are properly entered into organizational databases and securely maintained.
- Engaging and instructing external counsels.
Eligibility
- LL.B. from a reputed law school.
- 12-15 years’ work experience. Law firm background is preferable.
