IRON Systems is inviting law students to join their office in Noida.
Role and Responsibilities
- Contract Negotiation & Drafting
- Assist in negotiating resource augmentation and IT services agreements with global vendors and clients.
- Review and analyze pre-bid customer Statements of Work (SOWs); support the sales team with contractual negotiations.
- Draft and review legal documents, including NDAs, MSAs, SOWs, and commercial contracts.
- Contract Execution & Lifecycle Management
- Ensure proper flow-down of applicable customer SOW terms to corresponding vendor SOWs.
- Track and facilitate timely execution and renewal of vendor agreements.
- Identify and analyze risks arising from delays or gaps in vendor contracts.
- Coordinate internal approvals for execution of legal documentation.
- Compliance & Governance
- Support vendor and worker compliance reviews as part of governance processes.
- Liaise with vendors for onboarding, ensuring completeness of compliance documentation.
- Assist in strengthening the vendor onboarding process and rectifying documentation gaps.
- Coordinate with vendors during internal and client audits.
- Dispute Resolution & Risk Management
- Assist in identifying potential legal risks in vendor agreements.
- Support the resolution of contract disputes, including service credit claims and penalty terms.
- Develop innovative approaches for mitigating contractual risks.
- Monitoring & Reporting
- Maintain and report weekly progress on vendor SOW execution.
- Evaluate existing SOW clauses to suggest performance-improving modifications.
- Ensure accountability in the vendor contract management process.
- Additional Support Activities
- Support vendor onboarding for new programs and ensure compliance with legal and procurement requirements.
- Work with internal stakeholders to close gaps in existing vendor documentation.
Eligibility
- Final-year student pursuing LL.B. or LL.M. from a recognized university.
- Strong skills in legal research, drafting, and contract negotiation.
- Familiarity with corporate law, compliance standards, and IT service contracts is preferred.
- Proficient in MS Office (Word, Excel, PowerPoint).
- Strong analytical, organizational, and communication skills.
- Ability to work independently and manage multiple priorities in a fast-paced, global environment.
