Details of the Job/Internship
SATS is hiring for the position of Legal Manager & Company Secretary with 7 years of experience to join their office in Bengaluru.
Role and Responsibilities
Legal Functions:
- Provide prompt and accurate legal advice to the Business Units, identifying and managing legal risks.
- Draft, review, and negotiate commercial contracts, focusing on contracts for the construction of a central kitchen in Bangalore.
- Lead intellectual property protection projects, as required by the Group.
- Manage and instruct external legal counsel and monitor legal costs.
- Collaborate with the legal team of the parent company to ensure compliance with listing requirements and internal policies.
- Conduct legal training on regulatory updates relevant to the Group’s business.
- Develop and implement standard legal processes to improve operational efficiency.
- Travel at short notice and take on new assignments as required.
Corporate Secretarial Functions:
- Oversee all corporate secretarial activities for the Group, ensuring full compliance with the Companies Act and relevant regulations.
- Schedule, plan, and organize Board and Committee meetings, including drafting the agenda and minutes.
- Prepare statutory filings and disclosures, maintaining accurate statutory registers.
- Liaise with regulatory authorities, such as the Registrar of Companies and other government bodies.
- Assist in the preparation of the Annual Report and AGM/EGM documentation.
- Ensure the timely update and secure storage of corporate records, both in hard copy and digital formats.
- Manage all other day-to-day secretarial duties as required by the Group.
Eligibility
- Law degree from a recognized Indian university with a minimum of 7 years’ post-qualification experience in a reputed law firm or in-house role.
- ACS/FCS Membership of the Institute of Company Secretaries of India (ICSI).
- Registered with the Indian Bar Council.
- Strong corporate and commercial law background, with proven experience in contract management and compliance.
- Excellent interpersonal and communication skills, with the ability to work effectively with senior management and business units.
- Proactive, analytical, and detail-oriented with strong problem-solving skills.
- Ability to handle multiple areas of law and work independently while maintaining a team-oriented approach.
