Bayer is hiring a Manager-Legal & Corporate Secretarial with experience of 7 to 8 years to join their office in Thane.
Role and Responsibilities
- Corporate Secretarial & Governance: To act as the Company Secretary for one of the Bayer Group Company and to ensure all corporate governance activities related to that Company are strictly adhered to and lead any projects and corporate actions as the case may be.
- Legal Business Partnering Role: Enabling Functions: Responsible as the legal business partner for the Enabling Functions i) Accounting, ii) Finance & Treasury, iii) IT, HR, iv) GBS (Bangalore), v) Procurement, vi) HSE by providing legal advice, ensuring statutory compliance.
- Data Privacy: To act as the statutory Data Protection officer for Bayer entities in India. This role will act as a pivot for ensuring that the local Data Protection/Privacy rules are implemented for Bayer Group in India, work closely with the IT team in impact analysis, gap assessments, contract re-drafting & setting up the PRA process. Work extensively & in close collaboration with Global DP function and LPC Xpress Team and advice on local Data Privacy laws to ensure compliance in the Country.
- Real Estate & Litigation (RE): To operate & handle real estate regulations that are subjective & complex requiring compliance with different state regulations. Handle complex RE divestment projects and guide the RE team on legal aspects. Responsible for managing ownership and title of properties at sites to ensure business continuity. Ensure clear and marketable title of real estate owned by Bayer Group in India and secure the rights of Bayer in exploring the right litigation strategy. Be a business partner for RE projects in alignment with RE's global strategy.
- Compliance: Support the Compliance program for India & support the lifecycle management and process improvements of Integrated Compliance Management (ICM), partnering with Business for deployment of ICM processes in India. Provide legal inputs for compliance investigations given local requirements. Advise on non-standard, local law-oriented business projects to the business and partner with them for designing compliant solutions. Act as SPOC for the local Compliance requirements and report back to the Global Team.
Eligibility
- Qualified Company Secretary from the Institute of Company Secretaries of India a degree in law from a reputed university with 7-8 years of experience.
- Experience in the field of handling compliances and having a thorough understanding of laws applicable to life sciences companies
