Details of the Job/Internship
Sammaan Capital Limited is hiring for the position of Legal Manager (Drafting & Vetting of Various Agreements) to join their office in Gurugram.
Role and Responsibilities
Contract Management & Legal Documentation
- Draft, review, negotiate, and provide legal opinions on a wide range of contracts including:
- Service provider agreements, MoUs, NDAs, consultancy contracts (covering insurance, operations, marketing, compliance, HR, DSA, BA, telecom, etc.)
- IT-related agreements including outsourcing, procurement, integration, and cybersecurity contracts
- Lease deeds, leave & license agreements, maintenance contracts, and termination notices related to leased premises
- Facility and operations contracts such as security services, housekeeping, generator maintenance, warehouse, interior works, and co-working space agreements
- Draft and modify loan agreements and related documents including guarantee deeds, mortgage deeds, indemnities, and letters in line with applicable legal requirements
Co-Lending Model (CLM) Legal Support
- Draft, vet, and finalize documentation for Direct Assignment (DA) under CLM transactions including Deeds of Assignment, Power of Attorney, indemnities, etc.
- Ensure preparation and distribution of finalized (clean) bank-specific formats of DA and POA documents
- Procure stamp papers for each DA transaction and coordinate nomination of authorized signatories
Maintain centralized repositories of:
- All signed Deeds of Assignment since CLM inception
- All original executed documents for Master Co-Lending Agreements, Service Agreements, and Escrow Agreements
- Act as the legal point of contact for CLM partners to resolve legal queries and issues
Due Diligence & Legal Advisory
- Conduct title due diligence of immovable and leasehold properties offered as security; analyze relevant title documents and provide legal opinions
- Identify discrepancies in documentation or transactions and offer appropriate legal solutions
- Track, monitor, and resolve Post Disbursement Documents (PDDs)
Regulatory & Compliance Support
- Draft and respond to legal notices, customer complaints, and regulatory queries/escalations (including reconsideration requests)
- Provide legal research and advisory on evolving laws such as mortgage rules, stamp duty, and other relevant regulations
- Assist with statutory compliance including filing of:
- Form CHG-1, CHG-4 for charge creation/modification/satisfaction
- Conduct Registrar of Companies (ROC) searches as required
Reporting & MIS Management
- Maintain and regularly update MIS reports for:
- Customer complaints
- Legal notices
- Post disbursement documentation
- CLM and audit queries
- Liaise with internal teams to resolve audit and compliance queries
Training & Knowledge Sharing
- Conduct legal induction and training sessions for new joiners to ensure awareness of legal processes, compliance protocols, and documentation standards
