Ajna Capital is hiring for the position of Legal Manager with 4-5 years of experience to join their office in Chandigarh.
Role and Responsibilities
Corporate Legal Advisory
- Advise on corporate governance, mergers & acquisitions, joint ventures, and investment transactions.
- Draft, review, and negotiate a broad spectrum of legal documents, including commercial contracts, shareholder agreements, and MOUs.
- Guide company structure, entity formation, and ensure compliance with corporate laws and regulatory frameworks.
- Support internal stakeholders in decision-making with clear, actionable legal insights.
International Legal Affairs
- Manage legal matters related to international operations, including entity setup, trade law compliance, and foreign regulations.
- Lead legal due diligence for international M&A, joint ventures, and strategic partnerships.
- Coordinate with external counsel in various jurisdictions to navigate complex legal landscapes.
Compliance & Risk Management
- Monitor and interpret regulatory developments and ensure proactive compliance with local and international legal requirements.
- Develop internal policies addressing data protection, anti-corruption, and industry-specific regulations.
- Mitigate legal risks by providing guidance on operational and strategic compliance issues.
Dispute Resolution & Litigation
- Oversee legal disputes and litigation, working closely with external legal counsel
- Manage settlement negotiations and litigation strategy while minimizing legal exposure
Cross-Functional Collaboration
- Partner with leadership across legal, compliance, finance, and business teams to support strategic initiatives.
- Provide legal input on business expansion, contracts, investments, and operational planning.
Eligibility
Education:
- LLB, JD, or equivalent from a recognized institution; an LLM or MBA is a plus.
Experience:
- 4–5 years of experience in corporate and international legal roles, ideally within financial services, investment management, or related sectors.
Skills & Competencies:
- Strong grasp of corporate law, international regulatory environments, and dispute resolution.
- Expertise in drafting and negotiating complex contracts and legal instruments.
- Excellent communication, analytical, and negotiation skills.
- Proven ability to manage multiple legal projects in a fast-paced environment.
- Fluency in English (written and spoken); additional language proficiency is an advantage.
