Alchemist Asset Reconstruction Company Limited (AARC) is engaged in acquisition of distressed financial assets from the banking system and unlocking the value from these assets by customized reconstruction and value enhancement of the underlying businesses / securities through an efficient resolution process. It is one of prominent ARC in India, duly licensed by the RBI in 2007.

Details of the Job/Internship

They are looking for a Legal Manager to handle legal matters related to stressed asset acquisition, recovery, litigation, and regulatory compliance for their Asset Reconstruction Company (ARC). The role involves managing litigation, contract negotiations, enforcement actions, and ensuring adherence to SARFAESI, IBC, DRT, RBI regulations, and other applicable laws.

Role and Responsibilities

Legal & Compliance:

Ensure compliance with the SARFAESI Act, Insolvency and Bankruptcy Code (IBC), Recovery of Debts and Bankruptcy Act (RDBA), RBI guidelines, and other financial regulations.
Draft, review, and negotiate legal agreements including settlements, restructuring documents, loan sale agreements, and security enforcement documents.
Conduct due diligence on NPAs, ensuring legal vetting of loan documents, mortgage deeds, security interests, and enforcement mechanisms.
Handle regulatory filings, statutory obligations, and compliance reporting to RBI and other authorities.

Litigation & Dispute Resolution:

Represent the company in Debt Recovery Tribunals (DRT), National Company Law Tribunal (NCLT), High Courts, and other legal forums.
Manage litigation strategies for asset recovery, insolvency proceedings, and debt restructuring.
Coordinate with external counsels, law firms, and advocates for case management and legal proceedings.
Provide legal advisory on dispute resolution, recovery risks, and contractual obligations.

Asset Recovery & Enforcement:

Formulate and execute legal strategies for stressed asset resolution through settlements, enforcement actions, and insolvency proceedings.
Oversee possession and enforcement of secured assets under SARFAESI, including auction processes and settlement negotiations.
Engage with banks, NBFCs, investors, and regulatory authorities for seamless execution of recovery strategies.

Corporate & Risk Management:

Advise senior management on legal risks, regulatory updates, and compliance obligations.
Ensure proper contract management, risk assessment, and policy adherence within the organization.
Assist in structuring M&A transactions, distressed asset acquisitions, and joint ventures in compliance with legal frameworks.

Eligibility

LLB (mandatory), LLM (preferred) with specialization in banking, corporate law, or insolvency laws.
5-8 years of experience in an ARC, Bank, NBFC, or law firm handling asset recovery, litigation, and financial legal compliance.
Strong expertise in SARFAESI, IBC, DRT proceedings, RBI regulations, Companies Act, and securitization laws.
Experience in litigation management, contract drafting, enforcement actions, and due diligence.
Excellent negotiation, analytical, and communication skills.
Ability to work independently and collaborate with finance, risk, and operations teams.
