Details of the Job/Internship
CapitalXB is hiring a Legal Manager with around 4+ years of experience to join its team in Mumbai. The role involves leading legal, compliance, and regulatory functions, providing strategic legal advice, overseeing contracts and litigation, supporting regulatory interactions, and ensuring compliance with applicable laws and governance standards in the NBFC and financial services sector.
Role and Responsibilities
- Providing strategic legal advice to the Board and senior management.
- Identifying, evaluating, and mitigating legal risks related to business decisions, structured transactions, securitisation, and partnerships.
- Advising on legal and regulatory aspects of lending, financing, investment, and trade and export factoring structures.
- Overseeing drafting, review, and negotiation of contracts and legal documentation.
- Ensuring standardisation of legal documents, templates, and compliance with corporate governance practices.
- Drafting and reviewing board resolutions, minutes, and secretarial documentation in coordination with the Company Secretary.
- Managing regulatory compliance with RBI and NBFC requirements, including filings and responses to regulatory notices.
- Coordinating with external counsel on litigation and dispute resolution matters.
- Tracking litigation and supporting case management and reporting.
- Developing internal legal policies, SOPs, and compliance frameworks.
- Supporting internal audits and implementation of audit recommendations.
- Conducting training and awareness sessions on legal and compliance matters.
Eligibility
- LLB or LLM from a reputed university.
- Company Secretary qualification is an advantage.
- Minimum 4+ years of post-qualification experience in NBFCs, banking, or financial services.
- Working knowledge of NBFC regulations, RBI guidelines, corporate laws, and financial legal frameworks.
- Strong communication, negotiation, and stakeholder management skills.
- Product knowledge of loans and financial assistance provided by banks and NBFCs is an advantage.
