Exela Technologies is looking for a candidate for the position of Legal Manager - Contract.
Role and Responsibilities
- Complete management of contracts/agreements. Drafting, vetting and negotiation of various agreements viz. Non-Disclosure Agreements, Third Party Vendor Contracts, Procurement Agreements, Product Supply Agreements, Sale and Purchase Agreements, Service Agreements, Maintenance Service Agreement, Purchase and Annual Maintenance Contract, Distributor Agreement, warehousing agreements, Independent Contractor Agreements, Employment Agreements etc.
- Engaging with various business units regarding non-standard contractual situations.
- Conduct comprehensive risk evaluation from a contractual point of view and advise stakeholders regarding the same.
- Analyzing and structuring contracts to ensure compliance with the Company’s policy.
- Advising the Management on contractual rights and remedies.
- Delivering training to the relevant stakeholders on contract implementation and extending support regarding implementation of the contract during the terms of the contract.
- Understanding of general contract law and procedures related to contract management.
- Imbibing best-practices and sharing lessons learned from on-going and closed negotiations.
- Participating in global calls and meetings via phone or in-person.
- Engaging with international lawyers towards managing contract related court matters.
- Devising strategies and implementing the same while working in tandem with international lawyers and/or relevant stakeholders of the Company.
- Working in liaison with international lawyers regarding international commercial matters.
- Conducting risk evaluation and advising relevant stakeholders on the same.
- Advising the Company on potential business mergers and/or subsidiary/sister concern establishment outside India.
- Maintenance and updating of all legal documents.
- Keeping abreast with employment related matters.
- Keeping abreast with any change in law which may affect the Company’s transactions with third party stakeholders.
- Ensure compliance with statutory provisions while transacting with international lawyers/vendors including but not limited to taxation provisions as may be applicable on the Company.
- Conducting In-house research and make In-house opinion thereto on various legal matters.
- Work in line with the provided deadlines (both internal and statutory) and ensure timely completion of tasks.
- Working in a team-oriented culture and building consensus with the stakeholders before taking key decisions.
- Negotiating with international lawyers/contractual vendors on price points to maintain cost effectiveness.
Eligibility
- Must - Law Graduate
- Preferred – LLM Profile
- Work Experience of 5-8 yrs in the mentioned field.
- Food companies or food company clients (FMCG or FMCD)
- Exposure of working in a listed company or for listed clients
- Should have worked end to end on contract drafting, contract negotiation, risk assessment and analysis.
