Details of the Job/Internship

Exela Technologies is hiring a Manager – Legal with experience of 6–10 years to join their office in Pune.

Role and Responsibilities

• Draft, review, negotiate, and finalise commercial contracts, vendor agreements, NDAs, service agreements, and MoUs.
• Ensure risk mitigation through effective contractual structuring and enforceability.
• Maintain a centralised contract repository and track renewals and obligations.
• Implement best practices for contract lifecycle management.
• Ensure compliance with corporate, commercial, labour, and sectoral laws, including the Companies Act and SEBI regulations.
• Support internal compliance frameworks, risk registers, and legal audit processes.
• Liaise with external legal counsel and regulatory authorities when required.
• Work closely with the Company Secretary on board and shareholder matters, filings, returns, and minutes.
• Assist with legal documentation for board and committee meetings and statutory records.
• Provide legal advice to internal stakeholders on operational, commercial, and strategic matters.
• Support due diligence, M&A activities, joint ventures, and corporate restructuring.

Eligibility

• Bachelor’s degree in Law (LL.B.); LL.M. preferred.
• 6–10 years of post-qualification experience, preferably with in-house legal exposure.
• Experience working with or advising public limited companies is desirable.
• Strong knowledge of Indian corporate laws, SEBI regulations, commercial laws, FEMA, RBI framework, and intellectual property laws.
• Excellent drafting, negotiation, analytical, and problem-solving skills.
• Ability to work cross-functionally and manage multiple priorities effectively.
