Details of the Job/Internship
Invengene is looking for a candidate for the position of Legal Manager.
Role and Responsibilities
Contract Management:
- Drafting and reviewing commercial and legal contracts, domestic as well as international, related to pharmaceutical industry such as Confidentiality Agreements, Supply Agreements, Distribution Agreements, Contract Manufacturing Agreements, Loan License Agreements, Development Agreements, Profit Share Arrangements etc.
- Closely working with business development teams on commercial agreements.
Corporate Secretarial and Governance:
- Manage corporate secretarial activities, including board meetings, minutes, resolutions, and statutory filings.
- Prepare and finalize annual reports and director reports for the company.
- Ensure adherence of compliances as per the Companies Act and other relevant corporate laws.
- Submitting periodic reports on agreements i.e. MIS, executed agreements, renewals, etc.
Compliance and Audit:
- Develop and implement compliance programs to ensure adherence to local and international regulations.
- Monitor and ensure compliance with international laws and regulations relevant to the organization’s operations.
- Provide legal insights on cross-border transactions and international agreements.
- Oversee internal audits and compliance reviews, addressing any legal issues that arise.
Trademarks Management:
- Independently manage and protect the company’s trademarks domestically and internationally.
- Provide legal insights on property laws relevant to the pharmaceutical sector.
Litigation:
- Draft & vet legal documents such as Suits, Petitions, Appeals, Affidavits, and Notices.
- Coordinate and communicate with Senior Advocates regarding ongoing cases, ensuring feedback and briefings to management.
- Collaborate with HR and recruitment teams to promote the company culture and employee value proposition.
Eligibility
- 12 to 15 years of legal experience with a focus on contract management, corporate governance, compliance, general corporate law matters and litigation management.
- Strong knowledge of corporate secretarial practices and compliance regulations, both domestic and international.
- Educational Qualification: LLB and CS would be an added advantage
- Proficient in MS Word and MS Excel.
- Excellent negotiation, communication, and analytical skills.
- Ability to work independently and collaboratively across departments.
- Candidate with prior experience in handling contract management software is preferred.
Salary/Stipend
