Microland Limited is hiring a Legal Manager with experience of 10–12 years to join their office in Bengaluru. The role involves drafting, reviewing, and negotiating cross-border, high-value outsourcing contracts, including MSAs, SOWs, WOs, POs, and RFPs for the UK, Europe, and Middle East jurisdictions. It also includes drafting, reviewing, and negotiating agreements with global partners and resellers, such as click wrap agreements, reseller agreements, teaming agreements, service provider agreements, software licensing end user agreements, and MSSP partnership agreements.
Role and Responsibilities
- Draft, review, and negotiate cross-border, high-value outsourcing contracts.
- Draft, review, and negotiate partner and reseller agreements globally.
- Draft, review, and negotiate vendor agreements.
- Advise HR on employment-related contractual issues and disputes, including TUPE.
- Advise management on contractual rights, obligations, legal risks, and business terms of high-value deals.
- Strategise deals with Sales and Geo Heads for closure and sign-off.
- Monitor legal and regulatory updates affecting contracts.
- Evaluate legal risks associated with IT services during the contract lifecycle.
- Manage and strategise legal proceedings and dispute resolution processes in coordination with law firms.
- Guide on regulatory compliance and implementation of control measures.
- Provide legal advice and support to Sales and Business units.
Eligibility
- LL.B./LL.M (preferred) from a premier law school.
- Minimum 10–12 years of post-qualification experience handling complex sales-side contracts and partnership contracts, preferably in IT services for the UK, Europe, and Middle East jurisdictions.
- Flexible and well-organised, with the ability to work in a fast-paced, technology-driven environment.
- Good managerial skills to manage a team.
- Excellent written and verbal communication skills.
- Strong negotiation skills to negotiate and close contracts with global customers and partners.
- Ability to interact effectively with internal stakeholders, including Sales, Delivery, Finance, HR, Risk and Compliance, as well as external stakeholders.
- Flexibility to work in global time zones and under pressure.
- Good team player with a willingness to learn and take initiative.
