Details of the Job/Internship
Re Sustainability Limited is hiring for the position of Legal Manager to join their office in Hyderabad.
Role and Responsibilities
1. Contract Drafting, Negotiation & Management
- Draft, redline, review, negotiate, and close a broad range of commercial agreements, including NDAs, MoUs, vendor and service contracts, EPC contracts, lease deeds, and joint venture agreements.
- Provide legal input during tender/bid preparation and contract finalization stages.
- Interpret complex contractual clauses and advise business teams on rights, obligations, and liabilities.
- Identify contractual risks, recommend mitigation strategies, and ensure all agreements comply with applicable laws while protecting the company’s interests.
2. Legal Compliance & Risk Management
- Ensure organization-wide compliance with statutory requirements, including Labour Laws, Companies Act, Contract Act, and Environmental Laws.
- Maintain and update legal risk registers, flagging high-risk issues to management proactively.
- Monitor changes in relevant laws and regulations, advising internal teams on their implications.
3. Litigation & Dispute Resolution
- Liaise with external counsel for civil, criminal, arbitration, and regulatory matters.
- Handle pre-litigation notices, consumer complaints, and dispute resolution processes.
- Maintain a litigation MIS to track and ensure timely closure of cases.
4. Stakeholder Coordination & Reporting
- Collaborate with cross-functional teams such as Operations, Finance, Procurement, HR, Projects, and Business Development.
- Provide regular updates on legal matters, risks, and compliance issues to senior management.
5. Legal Advisory
- Deliver strategic legal advice to leadership and departments on contracts, corporate governance, environmental regulations, intellectual property, and labor laws.
6. Regulatory Compliance
- Monitor and ensure adherence to local, state, and federal environmental laws and regulations.
- Advise on the impact of new regulations and support implementation of necessary changes.
7. Corporate Governance
- Assist with governance matters, including preparation of board materials, corporate filings, and maintenance of corporate records.
8. Labor & Employment Law
- Provide guidance on employment contracts, workplace disputes, and compliance with labor laws and internal policies.
9. Mergers & Acquisitions
- Support legal due diligence, documentation, and execution of mergers, acquisitions, joint ventures, and other strategic initiatives.
10. Policy Development
- Draft and implement internal policies and procedures to ensure legal compliance and alignment with business objectives.
11. Training & Awareness
- Conduct training sessions for employees on legal topics, compliance obligations, and corporate policies.
