Details of the Job/Internship

Sammaan Capital Limited ('SCL') is hiring for the position of Legal Manager to join their office in Gurugram. 

Role and Responsibilities

1. Contractual Documentation – Drafting, Vetting, Advisory & Negotiation

• Drafting, reviewing, providing legal opinions, and negotiating a wide range of agreements, MoUs, NDAs, and contracts with third-party service providers across various domains including insurance, operations, marketing, compliance, HR, telecom, DSA, and BA.
• Legal support on IT-related agreements including outsourcing, procurement, integration, data security, and technology services.

2. Real Estate and Lease-related Documentation

• Drafting, vetting, and advising on lease deeds, leave & license agreements, property maintenance agreements, and termination notices in relation to leasehold properties.

3. Facilities and Administrative Agreements

• Drafting and negotiation of agreements related to security services, housekeeping, genset operations, warehousing, interior works, and co-working spaces.

4. Financial and Collateral Documentation

• Drafting, reviewing, and amending loan-related documentation such as loan agreements, guarantee deeds, mortgage deeds, indemnities, and associated legal correspondence in line with applicable laws.

5. Co-Lending Model (CLM) Transactions

• Drafting and finalizing documentation related to Direct Assignment (DA) under CLM transactions, including Deeds of Assignment, Powers of Attorney, and indemnities.
• Preparation and circulation of clean (final) bank-specific formats for key CLM documents.
• Procurement of requisite stamp papers for each DA under CLM.
• Nomination of authorized signatories for execution of DOAs under CLM.
• Maintenance of a centralized repository for:
• All executed DOAs since CLM inception.
• All original signed documents including Master Co-Lending Agreements, Service Agreements, and Escrow Agreements.

6. Legal Due Diligence & Opinions

• Conducting title due diligence of immovable properties offered as security or leased assets.
• Providing legal opinions on property title and any observed discrepancies in transactional documentation.

7. Customer and Regulatory Correspondence

• Drafting and issuance of legal notices and responses to customer complaints and legal notices.
• Responding to complaints/escalations raised with regulatory bodies, including reconsideration requests and clarification notes.

8. Post-Disbursement Documentation (PDD) Monitoring

• Continuous tracking, follow-up, and resolution of PDD-related issues in coordination with internal teams.

9. Legal Research & Compliance Support

• Conducting legal research and issuing opinions on legal developments, particularly around stamp duty, mortgage laws, and other relevant areas.
• Coordinating and supporting the filing of statutory forms such as CHG-1 and CHG-4, and conducting RoC searches as required.

10. Reporting & Record Maintenance

• Preparing and maintaining MIS reports for legal notices, customer complaints, and PDD statuses.
• Coordination with relevant teams for resolution of audit observations and CLM-related queries.

11. Training & Knowledge Sharing

• Conducting onboarding legal training sessions for new employees and providing ongoing legal education as required.
