Details of the Job/Internship
Shapoorji Pallonji Finance Private Limited is hiring Legal Professionals at Manager and AVP levels with 4–7+ years of experience to support lending documentation and regulatory functions.
Role and Responsibilities
- Draft, review, and vet lending documents including facility agreements, hypothecation deeds, guarantees, DPNs, NDAs, and ancillary documents.
- Review and negotiate co-lending agreements and SLAs in line with RBI guidelines and internal processes.
- Support supply chain finance documentation including onboarding documents, financing structures, indemnities, and authorisations.
- Review Business Correspondent (BC) and DSA agreements and onboarding documentation (for senior roles).
- Examine constitutional documents and corporate authorisations to validate borrowing powers and signatory rights.
- Conduct legal research on RBI regulations, NBFC guidelines, and lending laws, and provide advisory notes.
- Coordinate with external counsel for opinions, vetting, and escalations.
- Collaborate with business, credit, risk, operations, and compliance teams for timely deal execution.
- Maintain documentation records, trackers, templates, and version control.
- Identify legal and regulatory risks and recommend mitigation strategies.
Eligibility
- LLB/LLM qualification.
- 4+ years PQE for Manager level; 7+ years PQE for AVP level.
- Mandatory experience in drafting and reviewing loan documentation.
- Strong exposure to supply chain finance and co-lending structures (mandatory for AVP, preferred for Manager).
- Working knowledge of Companies Act, Indian Contract Act, Sale of Goods Act, Transfer of Property Act, IBC, and SARFAESI.
- Understanding of RBI Master Directions, outsourcing guidelines, and co-lending framework.
- Strong drafting, analytical, and communication skills with attention to detail.
