Details of the Job/Internship
Vistaar Financial Services Pvt. Ltd. is hiring a Legal Manager with 5–7 years of experience to provide end-to-end legal support for secured lending and mortgage lending portfolios in Bengaluru. The role covers pre-sanction title diligence, documentation, security perfection, and post-sanction recoveries through SARFAESI and non-SARFAESI legal mechanisms, along with litigation management, vendor governance, and regulatory compliance.
Role and Responsibilities
- Pre-Sanction and Documentation.
- Vetting loan documentation for secured and mortgage lending.
- Conducting and reviewing title due diligence, including title search, encumbrance checks, chain of title, RERA, revenue records, litigation search, and property tax diligence.
- Ensuring security perfection, including mortgage creation, stamping and registration, CERSAI registration, ROC charge filing, and hypothecation marking.
- Drafting and vetting sanction letters, loan agreements, security documents, deeds of guarantee, POAs, undertakings, and escrow and assignment deeds.
- Framing checklists and SOPs to minimise documentation defects and fraud risk.
- Post-Sanction Recovery – SARFAESI.
- Issuing and tracking Section 13(2) demand notices and handling borrower representations under Section 13(3A).
- Executing Section 13(4) measures, including possession actions, Rule 8 and Rule 9 processes, valuation, reserve price setting, and e-auctions.
- Filing and pursuing Section 14 applications before the DM or CMM.
- Coordinating with advocates, valuers, enforcement agencies, and managing panchnama, inventory, and custody.
- Managing sale certificates, appropriation, closure documentation, and timelines.
- Non-SARFAESI Legal Recoveries.
- Initiating and monitoring civil suits, summary suits under Order 37 CPC, arbitration, NI Act Section 138 matters, execution proceedings, and pre-litigation mediation.
- Filing injunctions, receivership applications, police complaints in cases of fraud, and coordinating with Lok Adalats and mediation centres.
- Strategising recoveries based on exposure, asset value, limitation, and recovery probability.
- Litigation Management and Vendor Governance.
- Handling cases by and against the company, including FIRs, arbitration, anticipatory bail, DRT, and consumer matters.
- Maintaining litigation trackers with MIS, exposure, provisioning inputs, and case status.
- Empanelling and managing law firms, counsel, collection agencies, valuers, and investigators in line with SLAs and quality standards.
- Reviewing pleadings, evidence, affidavits, and guiding branches on legal strategy.
- Compliance and Policy.
- Ensuring compliance with SARFAESI Act, Securitisation Rules, CPC, Arbitration and Conciliation Act, NI Act, and applicable state laws.
- Aligning processes with RBI NBFC Master Directions, Fair Practices Code, KYC and AML norms, outsourcing guidelines, data privacy, and grievance redressal requirements.
- Drafting and updating legal SOPs, templates, playbooks, and conducting internal training.
- Business Partnering.
- Advising sales, credit, collections, and operations teams on structuring, documentation, recoveries, and regulatory matters.
- Participating in credit committee discussions for high-value or complex cases.
- Supporting portfolio sales, assignments, and co-lending from a legal and enforcement perspective.
Eligibility
- LLB or LLM.
- 5–7 years of post-qualification experience in legal cases and arbitration.
- Experience in recoveries from hard bucket portfolios.
- Post-qualification experience with NBFCs, banks, ARCs, or reputed law firms handling secured lending.
