Details of the Job/Internship
Decorpot is hiring a Legal Officer with 5-7 years of experience to join their office in Bangalore.
Role and Responsibilities
- Contracting, Negotiation and Documentation:
- Draft, review, vet, and negotiate MSAs, vendor agreements, NDAs, consultancy contracts, marketing and licensing agreements, partnership agreements, joint development agreements, SaaS agreements, and rental agreements.
- Establish and manage a centralised contract management system with version control and renewal tracking.
- Advise on contractual risk mitigation, indemnities, limitation of liability, and dispute resolution clauses.
- Provide legal support during commercial negotiations in line with statutory and internal policies.
- Legal Due Diligence and Transaction Support:
- Conduct legal due diligence for investments, shareholder transactions, and restructuring exercises.
- Draft and review SHAs, SSAs, SPAs, term sheets, and ancillary transaction documents.
- Prepare due diligence reports highlighting legal risks and non-compliance issues.
- Coordinate with external advisors, investors, and internal finance teams for transaction execution.
- Litigation and Representation:
- Represent the organisation before civil courts, district consumer forums, and state consumer commissions.
- Draft and finalise pleadings, notices, affidavits, complaints, replies, written submissions, and arguments.
- Coordinate with external counsel on litigation strategy and case management.
- Maintain litigation trackers with hearing schedules, status updates, and risk assessments.
- Handle pre-litigation disputes, mediation, settlement discussions, police station matters, and enquiries.
- Compliance and Regulatory Management:
- Ensure compliance with applicable laws including the Companies Act, labour laws, and consumer protection laws.
- Monitor regulatory developments and update management on legal changes.
- Coordinate with statutory authorities and maintain compliance registers.
- Draft and review internal policies, codes of conduct, and compliance manuals.
- Legal Advisory and Risk Management:
- Provide legal advice to management and departments including HR, vendor management, and customer contracts.
- Conduct legal risk assessments for new projects, partnerships, and product launches.
- Support dispute prevention through timely legal advice and notices.
- Policy Development and Governance:
- Draft and implement legal policies and SOPs across departments.
- Collaborate with HR, finance, and operations teams to strengthen legal governance frameworks.
Eligibility
- LL.B from a recognised university.
- Enrolment with the Bar Council of India.
- 5-7 years of post-qualification experience in corporate and litigation roles.
- Experience in investment due diligence, contract lifecycle management, and consumer litigation is preferred.
- Strong analytical, drafting, negotiation, and stakeholder management skills.
