Details of the Job/Internship
GA Infra is hiring for the position of Legal Officer to join their office in Jaipur.
Role and Responsibilities
- A strategic mindset with the ability to translate complex legal concepts into actionable business decisions.
- Strategic Legal Counsel & Advise the executive team and Board of Directors on a wide range of legal matters, including corporate law, mergers and acquisitions, intellectual property, and any emerging legal trends impacting the industry.
- Risk Assessment and Mitigation to Perform meticulous due diligence for potential acquisitions. Analyze legal complexities, identify potential liabilities, and propose innovative risk mitigation strategies. Collaborate with finance and operations teams on risk-benefit analysis.
- Drafting and negotiating complex contracts (MoUs, Agreements of Sale, Sale Deeds, Joint Development Agreements, etc.). Manage external legal counsel and coordinate activities with specialists.
- Regulatory Compliance and Approvals to Possess a deep understanding of zoning regulations, environmental laws, construction permits, and other regulatory requirements.
- Direct the company's litigation strategy, representing it before courts, tribunals, and arbitration panels. Build strong cases, negotiate settlements when advantageous, and vigorously defend the company's interests.
- Advise on corporate governance matters, maintain board documents, and ensure compliance with all applicable laws and regulations.
- Undertaking legal research & Liaising with external lawyers and the state law office on all cases filed against the organization to ensure instructions, witnesses, and statements are procured on time.
- Carry out any other duties relating to the laws, or as may be directed by the head of legal services from time to time.
- Overall responsible for the smooth functioning of Legal Functions, including Contracts Management; litigation management; and Complete Legal compliance.
Eligibility
- Advanced law degree (LLB, LLM, or equivalent in Corporate Law).
- Excellent written and verbal communication, Exceptional leadership skills, Knowledge of all applicable laws, rules, and regulations, High attention to detail, Strong negotiation skills, and Ability to prepare complex legal documents.
- A Corporate Lawyer with 7 to 12 Years of previous experience in construction infrastructure and/or real estate law along with advocacy experience.
