Details of the Job/Internship
Orbit Techsol is hiring a Senior Legal Associate – Corporate, Compliance & Governance with 10–15 years of experience for its pan-India IT system integration operations.
Role and Responsibilities
- Managing end-to-end Company Secretary compliance under the Companies Act, 2013.
- Handling ROC and MCA filings, statutory registers, and annual returns.
- Managing Board meetings, AGMs and EGMs, including notices, agendas, minutes, and resolutions.
- Ensuring strong corporate governance practices.
- Drafting, reviewing, and negotiating IT services and system integration contracts.
- Handling OEM, licensing, channel partner, alliance agreements, NDAs, MSAs, SLAs, and SOWs.
- Providing legal support to sales, procurement, alliance, and delivery teams.
- Ensuring compliance with IT, data protection, labour, and commercial laws.
- Maintaining compliance calendars, SOPs, and internal controls.
- Supporting audits and advising leadership on legal risks.
- Handling legal notices, arbitration, and disputes through external counsel.
- Drafting responses, settlements, and tracking litigation status.
- Drafting and reviewing employment, consultant, and retainer agreements.
- Advising HR on disciplinary matters, exits, and labour law compliance.
- Framing and updating internal policies including Code of Conduct, POSH, and Ethics policies.
Eligibility
- LLB qualification is mandatory.
- Company Secretary (CS) qualification is mandatory.
- 10–15 years of experience in corporate legal roles, preferably in IT, technology, or consulting sectors.
- Strong experience in corporate law, contracts, compliance, and governance.
- Minimum 5 years of experience in legal compliance.
- Minimum 5 years of experience in corporate litigation.
- Minimum 5 years of experience in legal liability matters.
- Excellent drafting, negotiation, and stakeholder management skills.
- High integrity, confidentiality, and strong business orientation.
Salary/Stipend
