Role and Responsibilities
Company Secretarial:
- Support at Board Meetings, Annual General Meetings, Extraordinary General Meetings, and Corporate Social Responsibility (CSR) meetings.
- Maintenance of statutory registers.
- Filing of necessary forms with Registrar of Companies.
- Act as a Company Secretary under Companies Act, 2013 if required to be appointed mandatorily.
Corporate & Commercial:
- Offer comprehensive legal guidance and practical support for commercial operations, addressing day-to-day concerns with customers, vendors, and partners.
- Draft, assess, and negotiate a range of commercial contracts, taking into account the company's best interests, internal requirements, and local legal regulations.
- Update, formulate, and manage standard agreements and legal processes as necessary.
- Provide counsel and assistance for dispute resolution processes, conduct training sessions for the business on pertinent legal and contractual matters, and ensure the company's adherence to applicable laws.
- Assist in managing claims and internal investigations.
- Conduct research to identify and anticipate legal issues specific to the company's operational area, sector, and industry.
- Focus on safeguarding the company's intellectual properties, ensuring compliance with foreign exchange laws for transactions outside India, and adhering to ESG and CSR policies where applicable.
- Collaborate with stakeholders to implement, oversee, and ensure punctual statutory compliances for the company and its overseas subsidiaries.
- Oversee compliance with various contracts involving investors/lenders, assist in internal stakeholder meetings, corporate governance matters, and analyze requirements for establishing overseas companies based on business requirements.
Eligibility
- Min. qualification – LLB+ CS
- Min/ 2/3 years of relevant experience as in-house legal counsel and/or at a law firm handling company matters.
- Strong proficiency in the English language.
- Excellent knowledge of all the corporate laws including the Companies Act, RBI compliance
