CapitaLand is hiring for the position of Manager - Company Secretary & Legal with 10-12 years of experience to join their office in Pune.
Role and Responsibilities
- Ensure full compliance with the Companies Act, 2013 and other applicable corporate laws, including timely and accurate filings with the Ministry of Corporate Affairs (MCA) and other regulatory authorities.
- Organize and manage all formal meetings of the organization’s governing bodies (e.g., Board of Directors, Investment Committee), including drafting agendas, circulating notices, recording minutes, and preparing resolutions.
- Serve as the primary liaison with auditors on compliance-related issues and respond promptly to queries.
- Provide expert legal guidance on corporate governance frameworks, particularly in relation to GIFT City operations and investment funds.
- Oversee corporate actions including mergers, de-mergers, listing of Non-Convertible Debentures (NCDs), domestic and international debt instruments, Real Estate Debt Bonds (RDBs), and related securities.
- Ensure strict adherence to FEMA and RBI regulations governing FDI, overseas investments, and fund repatriation in real estate projects.
- Manage all compliance obligations under SEBI regulations applicable to Alternative Investment Funds (AIFs), including registration, reporting, disclosures, and investor communications.
- Draft, review, and negotiate real estate investment-related legal documents such as investment agreements, joint venture contracts, lease deeds, sale deeds, and financing instruments.
- Provide end-to-end legal support on property acquisition, due diligence, financing, development, and exit strategies.
- Monitor legal and regulatory developments under corporate, FEMA, RBI, and SEBI frameworks, assessing their implications for real estate investment funds and advising accordingly.
- Develop and implement internal compliance frameworks tailored to fund operations and applicable regulations.
- Manage relationships with external legal counsel specializing in real estate and investment fund law.
- Oversee legal aspects of fund structuring and formation processes.
- Ensure adherence to Anti-Money Laundering (AML) and Know Your Customer (KYC) requirements.
- Maintain statutory registers and documentation in line with legal mandates.
- Perform additional legal and compliance duties as assigned by management.
Eligibility
- Qualified Company Secretary (ACS/FCS) with active membership.
- Bachelor’s degree in Law (LLB) is mandatory.
- Minimum of 10-12 years of relevant post-qualification experience, preferably in real estate, investment management, or financial services sectors.
- In-depth expertise in corporate secretarial practices, FEMA and RBI regulations related to cross-border investments, and SEBI regulations governing AIFs.
- Strong knowledge of real estate law, investment frameworks, and contract law.
