TerraPay is hiring for the position of Manager - Corporate Affairs with 4-5 years of experience to join their office in Bengaluru.
Role and Responsibilities
- Governance Liaison: Serve as the central point of contact on all corporate governance matters for the board of directors, management, shareholders, and regulatory bodies.
- Board Coordination: Schedule and coordinate board and committee meetings, prepare agendas, compile board packs, and draft accurate minutes.
- Regulatory Compliance: Ensure timely and accurate filings of annual returns, disclosures, and board resolutions with applicable statutory bodies.
- Legal & Governance Monitoring: Stay up-to-date on developments in corporate law and regulatory frameworks; ensure compliance with governance codes, listing rules, and internal policies.
- Statutory Documentation: Draft, file, and manage statutory documents including resolutions, returns, and meeting minutes.
- Records Management: Maintain statutory registers, corporate records, and ensure they are up-to-date and audit-ready.
- Governance Advisory: Advise the board and leadership on governance standards, emerging trends, and legal obligations.
- Shareholder Relations: Manage shareholder communication and engagement, including AGMs and handling inquiries.
- Governance Implementation: Develop and implement frameworks aligned with best practices in corporate governance.
- Meeting Materials: Create and circulate meeting notices, agendas, and supporting documentation.
- Governance Reviews: Conduct periodic assessments of governance practices and identify areas for enhancement.
Eligibility
- Qualified Company Secretary (ACS) and member of the Institute of Company Secretaries of India (ICSI).
- 4–5 years of experience in a corporate governance or company secretarial role.
- Strong understanding of Indian corporate law, governance regulations, and global compliance standards.
- Experience managing regulatory filings, board operations, and secretarial audits.
- Familiarity with corporate secretarial software and governance tools.
- Exceptional communication and interpersonal skills to liaise with board members and senior leadership.
- High level of integrity, discretion, and ability to manage sensitive information.
- Added advantage: Legal background, certifications in corporate governance, or experience with global regulatory frameworks.
