Details of the Job/Internship
Flipspaces is hiring for the position of Manager – Legal & Company Secretary with 3-4 years of experience to join their office in Mumbai.
Role and Responsibilities
- Company Secretarial Functions
- Ensure compliance with applicable laws under the Companies Act, SEBI, RBI, and other regulatory frameworks.
- Organize and manage Board and Committee meetings, AGMs, and EGMs — including drafting agendas, notices, resolutions, and minutes.
- Maintain all statutory registers, records, and filings with MCA and other authorities.
- File annual returns, financial statements, and required documentation with regulatory bodies.
- Advise the Board on corporate governance best practices and regulatory responsibilities.
- Legal & Compliance Responsibilities
- Draft, review, and negotiate commercial agreements including service contracts, vendor agreements, NDAs, MoUs, etc.
- Manage organizational legal risks by ensuring compliance with applicable laws and internal policies.
- Coordinate with external legal counsel on litigation and dispute resolution matters.
- Offer legal advisory and support across internal departments such as HR, Finance, and Procurement.
- Monitor and respond to changes in the legal and regulatory landscape impacting the company.
- Corporate Governance & Regulatory Affairs
- Track and interpret legislative and regulatory updates, advising stakeholders on implications.
- Liaise with regulatory authorities including the ROC, SEBI, RBI, and Stock Exchanges.
- Ensure compliance with insider trading regulations and code of conduct requirements.
Eligibility
- Qualified Company Secretary (Member of ICSI)
- Bachelor's degree in Law (LLB) preferred
- 3–4 years of relevant experience in a corporate legal or company secretarial role
- Experience working with listed entities is a plus
Salary/Stipend
