SuperOps is hiring a Legal & Compliance Manager with 5-7 years of experience to join their office in Chennai.
Role and Responsibilities
- 1. Entity Compliance (India, US & NZ)
- Manage legal notices, responses, and regulatory correspondence for all entities.
- Oversee statutory compliance under the Companies Act, FEMA, Labour Laws, GST, IT Act, and other applicable Indian laws.
- Coordinate with US registered agents for Delaware franchise tax filings, annual reports, and multi-state compliance.
- Support NZ entity compliance and cross-border filings.
- Maintain a centralized compliance calendar and ensure timely filings across jurisdictions.
- 2. Contract Management
- Draft, review, and negotiate:
- SaaS Agreements
- Master Service Agreements (MSAs)
- NDAs
- Partner/Reseller Agreements
- Vendor Contracts
- Consulting & Employment Agreements
- Support Sales and Finance teams with customer renewals, compliance with ASC 606, GDPR, data-processing requirements, and pricing/legal considerations.
- Maintain a structured contract repository, track expiries, and streamline the renewal process.
- Develop contract playbooks, templates, and internal guidelines for scalable contract operations.
- 3. Legal Coordination & Advisory
- Coordinate with external counsel in India, US, and NZ for:
- Litigation & disputes
- IP protection
- Data-privacy matters
- Employment law issues
- Provide day-to-day legal advisory to internal teams on business decisions, product features, procurement, and market expansion.
- 4. Governance & Internal Policies
- Draft, update, and maintain internal policies including:
- Code of Conduct
- Anti-Bribery & Anti-Corruption (ABAC)
- Data Protection & Privacy Policies
- Vendor Onboarding Policies
- HR & Employment Guidelines
- Maintain documentation trails, version control, and audit-ready compliance records.
- Build frameworks for risk management, internal controls, and contractual governance.
Eligibility
- LLB / BL from a reputed university; LLM or CS qualification preferred.
- 5–7 years of post-qualification experience in corporate legal roles, preferably within SaaS / Tech / IT.
- Strong experience in:
- India + US entity compliance
- Contract drafting and negotiation
- Regulatory liaison & cross-border operations
- Excellent drafting, analytical, communication, and stakeholder-management skills.
- Familiarity with SaaS legal nuances: subscription models, DPAs, reseller/partner structures, and IP considerations.
