Tata Consultancy Services is hiring a Mergers and Acquisitions Manager with 5–10 years of legal experience to join their Mumbai office.
Role and Responsibilities
- Support senior professionals in M&A transactions and coordinate with cross-functional teams including strategy, finance, tax, and HR.
- Conduct legal due diligence in physical and virtual data rooms.
- Review, draft, and negotiate M&A documents including NDAs, Engagement Letters, LOIs, Share Purchase Agreements, and others at various transaction stages.
- Interact with external lawyers and advisors.
Eligibility
- 5–10 years of legal experience with at least 5 years in corporate legal departments or law firms focusing on mergers, acquisitions, demergers, divestments, and corporate restructuring.
- Knowledge of Companies Act, 2013, SEBI Regulations, FEMA Regulations, employment and labour laws, intellectual property laws, antitrust regulations, and data privacy laws including GDPR.
- Experience in conducting legal due diligence, highlighting risks, and advising on risk mitigation plans.
- Experience in preparing, reviewing, and negotiating transaction documents.
- Strong communication, analytical, and collaboration skills.
