Details of the Job/Internship
DMD Advocates is hiring for the position of Principal Associate-Corporate and M&A with 7 years of experience to join their office in Delhi.
Role and Responsibilities
- Lead and manage end-to-end M&A, Private Equity, and Venture Capital transactions (domestic and cross-border).
- Conduct and supervise legal due diligence, risk analysis, and mitigation strategy development.
- Draft, review, and negotiate key transactional documents including:
- Share Purchase Agreements (SPAs)
- Share Subscription Agreements (SSAs)
- Shareholders' Agreements (SHAs)
- Investment Agreements
- Term Sheets, NDAs, Business/Asset Transfer Agreements
- Advise on general corporate compliance including:
- Companies Act, 2013
- SEBI Regulations
- FEMA (FDI/ODI) Guidelines
- Employment & labor laws
- Sector-specific regulations and commercial arrangements
- Assist with deal structuring, regulatory advisory, and stakeholder coordination.
- Handle post-closing compliances, advisory, and regulatory filings.
- Independently lead and negotiate complex transactions with minimal partner oversight.
- Mentor and guide junior team members.
- Assist partners in client strategy, business development, and firm-wide knowledge initiatives.
- Act as primary point of contact for key clients and high-value mandates.
Eligibility
- LL.B. from a reputed law school with strong academic credentials.
- Prior experience with leading law firms in M&A, PE/VC, and corporate advisory.
- In-depth knowledge of Indian corporate, FDI, and securities laws.
- Excellent drafting, analytical, and negotiation skills.
- Strong organizational abilities and capacity to manage multiple time-sensitive transactions.
- Client-focused, collaborative, and proactive mindset.
- PQE: 7 years
Salary/Stipend
