Details of the Job/Internship
LegaLogic Consulting is hiring a Principal Legal Advisor with over 8 years of experience in mergers and acquisitions to join their Pune office.
Role and Responsibilities
- Advise on M&A transactions including business restructuring, due diligence, and regulatory aspects.
- Draft and negotiate transaction documents such as SPAs, SHAs, and BTA agreements.
- Handle NCLT matters including mergers and demergers.
- Advise on PE/VC deals including structuring, drafting term sheets, and conducting due diligence.
- Support fund formation including offshore/onshore structures, AIFs, and SEBI compliance.
- Guide IPOs, capital market transactions, and pre-listing due diligence.
- Draft and negotiate JV agreements and advise on regulatory implications.
- Assist clients with securities law compliance and SEBI registrations.
- Draft shareholder agreements, mediate disputes, and provide legal strategies.
Eligibility
- Law degree from a recognized institution.
- Company Secretary qualification preferred.
- Minimum 8 years of experience in M&A and related corporate legal matters.
- Strong drafting, research, and negotiation skills.
- High level of accuracy, ethics, and multitasking ability.
