Infosys is hiring for the position of Principal Legal Counsel with 15 years of experience to join their office in Bengaluru.
Role and Responsibilities
- Compliance Program Leadership
- Drive and enhance Infosys’ Compliance and Integrity Plan, based on the seven pillars of a robust corporate compliance framework.
- Promote a strong culture of ethics and compliance, aligned with global best practices and Infosys’ values.
- Propose, develop, and implement compliance strategies and action plans in response to regulatory changes or internal assessments.
- Regulatory & Statutory Compliance
- Oversee statutory filings, disclosures, and record-keeping under Indian and international regulations, including:
- SEBI Listing Obligations
- Insider Trading Regulations
- US SEC regulations
- ESG and sustainability disclosures
- Manage identification, investigation, and public disclosure of material events in coordination with internal departments.
- Ensure compliance with securities and capital market laws during buybacks, board actions, and other corporate events.
- Risk Identification & Mitigation
- Evaluate compliance risks and develop risk mitigation frameworks.
- Monitor control systems to prevent or address violations of legal guidelines and internal policies.
- Stakeholder Engagement
- Liaise with regulators, auditors, external counsel, and other stakeholders as needed.
- Support company responses to regulatory inquiries, audits, and proceedings related to listing compliance and disclosures.
- Advisory & Training
- Act as a subject matter expert on key regulatory regimes including anti-corruption, anti-trust, insider trading, and confidentiality laws.
- Guide internal teams (Legal, HR, Finance, Risk, etc.) on compliance best practices.
- Plan and lead compliance training sessions, internal communications, and policy awareness programs.
Eligibility
- Qualified lawyer (JD/LLB) with a minimum of 15 years of relevant legal and compliance experience.
- Prior experience advising on corporate compliance frameworks, preferably in a multinational environment.
Salary/Stipend
Compensation details will be finalized during the interview process with the selected candidate.
