Tech Mahindra is hiring professionals for their Noid/Pune office.

Role and Responsibilities

• Undertaking legal due diligence and drafting diligence reports. 
• Review of due diligence reports provided by external counsels. Assimilation of diligence findings in transaction documents.
• Drafting, review and finalization of legal contracts (e.g., share subscription agreements, shareholders’ agreement, joint venture agreements, investment documents, business and asset sale agreements, MSAs/GSAs, transition agreements, novation deeds, teaming agreement, term sheets, confidentiality agreements, restructure deeds.)
• Assistance with execution, stamping, closing and post-closing activities.
• Ensuring group standards/policies are reflected in legal documents to protect the interest of the company.
• In-depth knowledge of federal and state laws of key foreign jurisdictions and a working knowledge of tax law, employment and labor laws, antitrust, intellectual property, and commercial law.
• Support M&A legal matters, including in relation to business strategy, performance and risk management.
• Prepare periodic legal reports, as per requirement.
• Provision for legal expenses.
• Onboard external counsels and liaise with them.
• Oversee budgeting and invoicing.

Eligibility

• LLB/ LLM from a premier college/university.
• Minimum experience of 7-15 years, with a top tier law firm or a leading corporate on M&A projects with a cross border focus.
