Details of the Job/Internship

RAYNE is hiring a Projects Lawyer with experience of 8+ years to join their office in Dubai.

Role and Responsibilities

• Lead or support front-end project workstreams from bid stage to contractual or financial close.
• Advise across the full lifecycle of project finance transactions including development, structuring, financial close, and post-close support.
• Draft, review, and negotiate finance and project documentation including facility agreements, security packages, direct agreements, intercreditor arrangements, power or offtake agreements, shareholders’ and joint venture agreements, land, lease or usufruct arrangements, connection and interface agreements, and EPC, O&M, and key supply contracts.
• Act as CP lead, manage conditions precedent processes, coordinate stakeholders, and drive transactions to close.
• Support sponsors, lenders, and investors on structuring, risk allocation, and bankability.
• Work closely with BD, project finance, technical, and commercial teams, and external counsel to maintain timelines and manage risk.
• Provide practical and commercially focused in-house legal support on project execution matters.

Eligibility

• Qualified in a common law or other recognised international jurisdiction.
• Typically 8+ years’ PQE, flexible depending on experience and role.
• Experience in private practice and/or in-house environments.
• Strong exposure to project finance and/or project development work in energy or infrastructure.
• Commercial, pragmatic, and comfortable working autonomously and as part of a team.
• Consultant mindset with the ability to work closely with business stakeholders.
