Details of the Job/Internship
To support the Company Secretary and the legal team in managing the documentation, regulatory filings, compliance requirements, and corporate governance aspects related to the IPO process. The Semi-Qualified Company Secretary will assist in the preparation of documents, maintaining statutory records, liaising with regulatory authorities, and ensuring adherence to securities laws.
Role and Responsibilities
Regulatory Compliance:
- Assist in ensuring compliance with the Securities and Exchange Board of India (SEBI), the Ministry of Corporate Affairs (MCA), and stock exchanges regulations during the IPO process.
- Liaise with legal and financial advisors to ensure that all necessary filings, reports, and documentation are completed in a timely and accurate manner.
- Assist in the preparation and submission of documents to the Securities and Exchange Board of India (SEBI), Registrar of Companies (RoC), and other regulatory bodies.
Document Preparation:
- Assist in drafting, reviewing, and compiling documents required for the IPO, including the Draft Red Herring Prospectus (DRHP), Red Herring Prospectus (RHP), Offer Document, and other related reports.
- Ensure that all disclosures in the IPO documents are accurate, complete, and in line with regulatory requirements.
Corporate Governance:
- Assist in ensuring that the company adheres to best practices in corporate governance throughout the IPO process.
- Maintain and update statutory registers and records, such as the Register of Shareholders, Register of Directors, and other compliance documentation.
Communication and Liaison:
- Act as a point of contact for regulatory bodies, external advisors, and other stakeholders involved in the IPO process.
- Coordinate with the underwriters, auditors, and legal counsel to streamline communication and documentation flow.
Internal Compliance:
- Support the company in fulfilling its internal compliance requirements in relation to the IPO, including board meetings, shareholder communications, and corporate filings.
- Ensure timely filing of documents with the Registrar of Companies (RoC) and other statutory bodies.
Legal and Corporate Secretarial Support:
- Assist in reviewing legal documents related to the IPO process, including agreements, contracts, and other corporate documentation.
- Ensure the company’s legal and corporate records are organized and up-to-date throughout the IPO.
Preparation for Board and Shareholder Meetings:
- Assist in organizing board and shareholder meetings during the IPO process, ensuring all regulatory requirements for meetings, resolutions, and notices are met.
- Draft minutes of meetings, including resolutions passed, approvals obtained, and other actions taken by the board.
Post-IPO Compliance:
- Support the company in maintaining post-IPO regulatory compliance, ensuring that all post-offer obligations are met.
- Help in monitoring compliance with SEBI regulations post-IPO, including disclosures, filings, and reporting.
Eligibility
Qualifications and Experience:
Education:
- Semi-qualified Company Secretary (CS) with ongoing studies in the Company Secretary course (Intermediate level).
- A degree in Law (LLB) or a related field is an added advantage.
Experience:
- Minimum 0–2 years of experience in corporate secretarial, legal, or compliance roles, preferably within the IPO process.
- Previous experience in assisting IPOs, corporate governance, or working with regulatory bodies (SEBI, MCA) is preferred.
Skills:
- Strong understanding of corporate laws, SEBI regulations, and IPO-related processes.
- Excellent written and verbal communication skills.
- Proficiency in using MS Office and other corporate governance tools.
- Attention to detail, ability to work under pressure, and meet deadlines.
- Knowledge of corporate secretarial software and online regulatory filing platforms (e.g., MCA21, NSE/BSE portals) is advantageous.
