Details of the Job/Internship

Ascendus Law Partners is hiring a Senior Associate (SA1 & SA2) with experience of 4–6 years to join their office in Noida or Mumbai.

Role and Responsibilities

• Lead the execution of M&A, Private Equity, and Venture Capital transactions, including share purchases and business transfers.
• Supervise and conduct legal due diligence exercises and draft comprehensive, commercially-oriented reports.
• Assist in structuring deals in compliance with the Companies Act, FEMA, and various sectoral laws.Draft, review, and negotiate transaction documents such as SPAs, SSAs, SHAs, and JVs.
• Prepare and review corporate actions for closings, including board resolutions, share certificates, and statutory filings
• .Coordinate with clients and advisors to manage transaction timelines and drive deal signings and closings.
• Advise on day-to-day corporate issues, including board processes, related party transactions, and governance.
• Support foreign investment aspects of transactions, including entry routes and FEMA compliance
• .Draft and review commercial contracts such as distribution agreements, supply contracts, and NDAs.

Eligibility

• LL.B. or integrated law degree from a recognized university.
• Enrollment with a State Bar Council in India.
• Experience: SA1 requires 4–5 years of PQE; SA2 requires 5–6 years of PQE in a corporate/M&A team.
• Strong background in general corporate law and M&A/PE/VC with a reputable firm or in-house team.
• In-depth understanding of the Companies Act and FEMA regulations.
• Demonstrated experience in drafting transaction documents and conducting legal due diligence.
• High proficiency in written and spoken English with exceptional attention to detail.
• Comfort with managing cap tables and complex investment structures
