Details of the Job/Internship
S&A Law Offices is hiring a Senior Associate (Corporate Law) with 5+ years of experience to join their office in East of Kailash, Delhi.
Role and Responsibilities
- Comprehensive knowledge and experience in corporate laws including the Companies Act, Contract Act, Societies Act, FCRA, and FEMA, with a focus on FDI, ODI, and ECBs.
- Experience in managing transactions, secretarial compliance, and regulatory filings.
- Working knowledge of SEBI laws and listing compliances including SEBI LODR, ICDR, SAST, PIT, and related filings.
- Conducting board and shareholders' meetings, preparing necessary documentation, and ensuring regulatory compliance.
- Conducting due diligence for listed and unlisted entities.
- Handling mergers and acquisitions, and private equity transactions.
- Drafting, reviewing, and negotiating transaction agreements such as term sheets, SPAs, SSAs, SHAs, and loan agreements.
- Drafting legal opinions and advisory notes on various laws.
- Knowledge of the Insolvency and Bankruptcy Code (I&B Code) is an added advantage.
Eligibility
CS or LLB from a top-tier law college. 5+ years of experience.
