Details of the Job/Internship
Inventus Law Technology Partners (ILTP) is hiring a Senior Associate - Corporate with experience of 4 to 6 years post-qualification to join their office in Bengaluru.
The role involves working directly with venture-backed startups and growth-stage companies as trusted external counsel across the full lifecycle of their business, from company formation and early-stage fundraising to late-stage financings, acquisitions, and exits. The position includes handling term sheet negotiations, drafting and closing financing documents, managing M&A transactions, advising on regulatory and compliance matters, and addressing day-to-day legal requirements of active clients.
The candidate will be expected to manage matters end-to-end, handle client relationships independently, and supervise junior lawyers. The role requires a strong understanding of the startup ecosystem and the ability to advise founders and investors on both legal and practical implications of their decisions.
Role and Responsibilities
- Advise venture-backed startups and growth-stage companies throughout their lifecycle.
- Negotiate term sheets and draft and close financing documents.
- Manage mergers and acquisitions transactions.
- Advise on regulatory and compliance matters.
- Address day-to-day legal requirements of clients.
- Manage matters independently from initiation to completion.
- Supervise junior lawyers and maintain direct client relationships.
Eligibility
- LL.B. degree (or equivalent) from a recognised Indian university.
- Enrolment with the Bar Council of India or at least one State Bar is mandatory.
- 4 to 6 years of post-qualification experience as a corporate lawyer, with substantial experience in the startup and venture capital ecosystem.
- Sound knowledge of Indian corporate law, FEMA/ODI/FDI regulations, the Companies Act, 2013, and SEBI frameworks.
- Exposure to cross-border transactions and VC/PE documentation standards is an advantage.
- Experience in drafting and negotiating investment agreements, shareholders’ agreements, and M&A transaction documents.
- Experience navigating regulatory frameworks applicable to technology companies is preferred.
- Familiarity with equity compensation structures and cap table management is an added advantage.
- Strong commercial acumen and strategic thinking ability.
- Excellent drafting, analytical, and research skills with high attention to detail.
- Excellent written and spoken English with the ability to communicate effectively with founders, investors, and counterpart counsel.
- Ability to manage multiple assignments, meet timelines, and independently handle matters with minimal supervision.
