Details of the Job/Internship
DLS Law Offices is hiring a Senior Associate with a PQE of 5+ years to join their office in Noida.
Role and Responsibilities
- Lead and assist in the structuring and execution of Private Equity (PE) and Venture Capital (VC) funding rounds.
- Draft, review, and negotiate critical transaction documents, including term sheets, SSAs, and SHAs.
- Conduct in-depth legal research and due diligence for complex corporate transactions and reorganizations.
- Advise on mergers and acquisitions (M&A) and general corporate advisory matters for both investor and company-side mandates.
- Prepare legal opinions, board resolutions, and advisory memoranda on commercial structuring.
- Ensure regulatory compliance and manage statutory filings under the Companies Act and SEBI regulations.
- Provide strategic legal advisory aligned with corporate governance and current market practices.
Eligibility
- Minimum 5 years of Post-Qualification Experience (PQE).
- Demonstrated expertise in General Corporate Advisory, PE/VC transactions, and M&A.
- Essential experience in term sheet negotiations and discussing SSA/SHA provisions.
- Proven ability to independently handle complex transactions from inception to closure.
- Exceptional analytical, legal research, and drafting capabilities.
- Strong professional communication and client-interaction skills.
