Details of the Job/Internship

Lexansh & Co. is hiring a Senior Associate – Corporate and Commercial and Transaction Advisory with 3–4 years of experience to join its Gurgaon office. The role involves leading and managing corporate and transactional matters, handling end-to-end deal execution, advising on transaction structuring, governance, and compliance, and working closely with clients and stakeholders.

Role and Responsibilities

• Lead and manage mergers and acquisitions, private equity, venture capital, joint ventures, and strategic transactions.
• Independently conduct legal due diligence, risk assessment, and prepare detailed due diligence reports.
• Draft, review, negotiate, and finalize transaction documents including SPAs, SHAs, investment agreements, asset or business transfer agreements, and joint venture agreements.
• Advise on transaction structuring, corporate governance, and compliance under the Companies Act, FEMA, SEBI, and allied laws.
• Manage transaction timelines, closing deliverables, and post-closing compliances.
• Act as a key point of contact for clients, counterparties, and external advisors.
• Supervise and mentor associates and interns, and support partners in business development initiatives.

Eligibility

• Experience of 3–4 years in corporate, commercial, and transactional law.
• Strong command over corporate, commercial, and transactional laws.
• Experience in mergers and acquisitions, private equity, venture capital, and joint ventures.
• Excellent drafting, negotiation, and client management skills.
• Prior experience in a reputed law firm handling complex corporate transactions.

Salary/Stipend
