Details of the Job/Internship

They are seeking a skilled and motivated Law Associate with expertise in Private Equity and Venture Capital transactions to join their team in Bangalore. The Associate will work closely with partners and clients, providing legal counsel, conducting due diligence, and facilitating transactions in the PE and VC space.

Role and Responsibilities

Transactional Support:

• Assist in structuring, drafting, and negotiating transaction documents for PE and VC investments, including term sheets, shareholder agreements, and investment contracts.
• Conduct legal due diligence and regulatory compliance reviews for investment transactions.

Client Interaction:

• Interact with clients, providing legal advice and strategic guidance on PE and VC matters.
• Assist in client meetings, presentations, and negotiations.

Legal Research and Analysis:

• Conduct legal research on corporate and securities laws, regulations, and market practices related to PE and VC transactions.
• Analyse legal implications and provide recommendations to clients and internal stakeholders.

Documentation and Compliance:

• Draft and review legal documentation, ensuring accuracy, compliance, and adherence to legal standards.
• Assist in ensuring compliance with regulatory requirements and industry best practices.

Case Management and Team Collaboration:

• Manage case files, track transactional progress, and ensure timely completion of tasks.
• Collaborate with partners, associates, and other team members on various legal projects.

Eligibility

• Bachelor's degree in Law (LLB/LLM) from a recognized institution. Additional qualifications or certifications in Corporate Law or Finance would be advantageous.
• 3-4 years of relevant experience in a reputable law firm, specializing in Private Equity, Venture Capital, M&A, or corporate transactions.
• Strong knowledge of corporate and securities laws, including familiarity with SEBI regulations and investment-related statutes.
• Excellent drafting, analytical, and communication skills.
• Ability to manage multiple tasks, prioritize deadlines, and work effectively in a team-oriented environment.
