Details of the Job/Internship
Contract Bazar is hiring a Senior Corporate Lawyer with experience of 7–9 years to join their organisation.
Role and Responsibilities
- Draft and review vendor agreements, client service agreements, employment and consultant contracts, NDAs, MOUs, and addendums.
- Ensure clarity on scope of work, payment milestones, timelines, termination rights, and exit mechanisms.
- Apply corporate law principles relating to authority, signing powers, approvals, and governance while drafting contracts.
- Identify and flag risks related to related-party transactions, director liabilities, and shareholder exposure.
- Ensure accurate IP ownership, licensing, assignment, and confidentiality provisions in all relevant contracts.
- Identify early signs of disputes and recommend preventive clauses and documentation practices.
- Advise clients on commercial implications, enforceability, and risk-protection trade-offs.
- Review junior drafts, correct deficiencies, and develop clause banks and drafting SOPs.
- Maintain contract trackers, amendment logs, and renewal alerts to ensure documentation discipline.
Eligibility
- 7–9 years of experience in corporate and commercial contract drafting and advisory.
- Strong understanding of corporate law, governance, and IPR implications in contracts.
- Ability to provide commercially practical and preventive legal advice.
- Experience in mentoring juniors and maintaining drafting quality standards.
